This Service and all the materials available on the Service are the property of Rapid Results AI and/or our affiliates or licensors and are protected by copyright, trademark, and other intellectual property laws. The Service is provided solely for your authorized business use as specified in your subscription agreement.
You may not use the Service or any materials available on the Service in any manner that infringes on our rights or that has not been expressly authorized by us. Specifically, unless explicitly authorized in these Terms of Service or by separate agreement, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works from, exploit, or distribute in any manner or medium any proprietary technology, algorithms, or AI models from the Service.

By using our Service, you may provide various types of data and content, including:

- Call recordings, transcripts, and conversation logs
- Custom scripts for both inbound and outbound campaigns

You retain ownership of your business data, customer information, and prospect lists. However, you grant us a limited license to use this data to provide the Service, including training and improving our AI models to better serve your business needs and optimize both inbound call handling and outbound campaign performance. All data handling is subject to our Privacy Policy and applicable data protection regulations.
Data Security and Compliance
We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits. We comply with relevant regulations including GDPR, CCPA, HIPAA (where applicable to your business), TCPA, and telecommunications regulations governing both inbound and outbound calling activities.
5. Acceptable Use Policy
You agree to use the Service only for lawful business purposes and in compliance with all applicable regulations. You may not use the Service to:
General Prohibited Uses:
- Violate any applicable laws or regulations
- Harass, abuse, or harm individuals through automated calling
- Impersonate other businesses or individuals
- Interfere with or disrupt the Service or our servers
- Attempt to gain unauthorized access to the Service or other users' accounts
- Use the Service for any fraudulent or deceptive practices
Outbound Calling Specific Restrictions:
- Make unauthorized calls to numbers on the Do Not Call Registry
- Call individuals without proper consent or opt-in
- Make calls outside of permitted calling hours (8am-9pm local time)
- Use the Service for illegal telemarketing or robocalling activities
- Call wireless numbers without express written consent
- Engage in predictive dialing without human intervention
- Fail to provide proper caller identification and opt-out mechanisms
6. Outbound Calling Compliance and Responsibilities
For outbound lead generation and calling services, you acknowledge and agree that:
Your Compliance Responsibilities:
- You are responsible for ensuring all prospect data and calling lists comply with TCPA regulations
- You must obtain proper consent before adding contacts to outbound campaigns
- You must maintain Do Not Call scrubbing and opt-out management
- You are responsible for honoring all opt-out requests immediately
- You must comply with state and federal calling time restrictions
- You must provide accurate caller ID and contact information
Our Compliance Support:
- We provide automated Do Not Call Registry scrubbing
- We enforce calling time restrictions based on recipient time zones
- We maintain call logs and compliance documentation
- We implement automatic opt-out handling and list management
- We provide TCPA-compliant calling practices and procedures
7. Service Availability and Performance
While we strive to provide reliable, 24/7 service availability for both inbound call answering and outbound campaign execution, we do not guarantee uninterrupted access to the Service. Scheduled maintenance, emergency repairs, or circumstances beyond our control may result in temporary service interruptions.
8. Billing and Payment Terms
Payment terms are specified in your subscription agreement. Generally:
- Subscription fees are billed monthly or annually in advance
- Usage-based charges (inbound call minutes, outbound call minutes, lead generation activities) are billed monthly in arrears
- Setup and customization fees may apply for complex implementations
- All fees are non-refundable unless otherwise specified
- We reserve the right to suspend service for non-payment after appropriate notice
- Outbound campaign costs may vary based on call volume, success rates, and campaign complexity
9. AI Performance and Limitations
Our AI voice agents are designed to provide human-like interactions for both inbound and outbound calling. However, you should be aware that:
- AI responses may not always be perfect or handle every possible scenario
- Complex customer issues may require human intervention or escalation
- Outbound lead generation results may vary based on industry, target audience, and market conditions
- You should review and approve AI-generated content and scripts before deployment
- Our models improve over time as the technology improves and can improve based on your feedback
- We implement safeguards to ensure AI responses remain appropriate and professional
- Lead generation performance is influenced by factors beyond our control, including prospect responsiveness and market conditions
10. Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
UNDER NO CIRCUMSTANCES SHALL RAPID RESULTS AI BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES RESULTING FROM THE USE OF OR THE INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO:
- Lost business opportunities or missed calls
- Revenue loss from failed lead generation campaigns
- Compliance violations or regulatory fines resulting from your use of the Service
- Inaccurate lead qualification or appointment scheduling errors
- Technical failures affecting call quality or campaign delivery
- Third-party integrations or service dependencies
EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless Rapid Results AI, its affiliates, successors, transferees, assignees, and licensees—and their respective parent and subsidiary companies, agents, associates, officers, directors, shareholders, and employees—from and against any and all claims, actions, damages, liabilities, costs, and expenses (including legal fees) arising out of or related to:
- Your use of the Service for both inbound and outbound calling
- Your violation of these Terms of Service
- Your violation of any rights of another party
- Content, prospect lists, or calling data you provide through the Service
- TCPA violations or other regulatory compliance failures
- Unauthorized calling or lead generation activities
- Misrepresentation of your business or offerings through our Service
12. Termination
Either party may terminate the Service agreement with appropriate notice as specified in your subscription agreement. We may immediately terminate or suspend your access to the Service if you violate these Terms of Service, particularly regarding compliance violations or prohibited use activities.
Upon termination:
- You are no longer authorized to access the Service
- All ongoing inbound and outbound campaigns will be immediately suspended
- We will provide reasonable assistance in data export during a transition period
- You remain responsible for any outstanding fees or charges
- Compliance obligations continue for any activities conducted during the service period
13. Compliance and Regulatory Matters
Our Service is designed to comply with telecommunications regulations, including:
- Telephone Consumer Protection Act (TCPA) for both inbound and outbound calling
- Federal Trade Commission Do Not Call Registry requirements
- State and federal calling regulations and time restrictions
- GDPR and CCPA data protection requirements
- HIPAA compliance for healthcare-related calling (where applicable)
- CAN-SPAM Act for any related electronic communications
- International calling compliance where applicable
- Industry-specific regulations (healthcare, finance, real estate, etc.)
You are responsible for ensuring your use of the Service complies with all applicable regulations in your jurisdiction and industry, particularly regarding outbound calling and lead generation activities.
14. Lead Generation and Results Disclaimer

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Ohio.
16. Entire Agreement
These Terms of Service, together with our Privacy Policy and any executed subscription agreement, constitute the entire agreement between you and Rapid Results AI regarding the use of the Service and supersede all prior agreements and understandings.
